|In his 20 years of practicing law, Jim Miller has worked for corporate clients of all sizes with respect to corporation formation, mergers, asset sales and purchases, including drafting authorizing resolutions, bills of sale, purchase agreements, tender offers and other supplemental documents. He began his career with a large Cleveland law firm working on mergers, acquisitions and commercial finance transactions ranging from $300,000 to $1,500,000,000. Thereafter, Jim transitioned to the medium-sized law firm sector where he developed an ability to service small clients in all facets of their business while keeping his fees in line with a small business’ legal budgetary needs. Jim has extensive experience counseling closely-held businesses in corporate formation, acquisition and real estate transactions. In addition, Jim specializes in representing both banks and borrowers in loan transactions and work out situations. Jim has represented lenders in secured, unsecured, asset-based and cash flow lending, as well as loan restructuring and the sale of loan pools, including drafting legal contracts, conducting due diligence for disclosure, drafting legal opinions and other supplemental documents relating to bank loans and taxable and tax-exempt bond documentation. Jim’s extensive experience allows him to provide sound corporate transactional work in a prompt and cost-effective manner.
